Eunoia Pro Terms Of Service

Beacon Minds Solutions Private Limited (“Company”, “We”, “Our”) – Eunoia Pro (“Service”, “App”)
By accessing or using the website and/or the app / services offered under Eunoia Pro, you (“User”, “You”) agree to comply with these Terms of Service. If you do not agree, do not use the Service.
1. Eligibility & Professional Qualification
1.1 You must be 18 years or older and legally capable of entering into a binding agreement.
1.2 The Service is intended for qualified professionals, including but not limited to mental health therapists, counselors, coaches, or related practitioners.
1.3 You represent and warrant that:
- You hold all necessary licenses, certifications, or qualifications required under applicable local laws to provide your services.
- You are solely responsible for compliance with professional, ethical, and regulatory standards applicable to your practice.
1.4 The Company reserves the right to verify professional credentials and may approve, suspend, or deny access at its discretion.
2. Service Description
2.1 Eunoia Pro is an AI-powered Practice Management and Therapy Efficiency Platform designed to:
- Manage calendars and schedule online/offline sessions, including via the Create Booking feature described in Section 3
- Conduct sessions via video/audio conferencing
- Upload and store session recordings, notes, and client documents
- Generate AI-powered transcriptions, summaries, clinical notes, insights, and recommendations
- Improve productivity and administrative efficiency
2.2 The Service acts as a support tool only and does not provide medical advice, diagnosis, or treatment.
2.3 All professional decisions, interpretations, and services delivered to clients remain the sole responsibility of the User.
3. Google Calendar Integration & Create Booking Feature
3.1 Eunoia Pro offers an optional Create Booking feature that lets registered Professional Users connect their Google Account so that the Service can create, view, update, reschedule, and cancel therapy session meetings directly on the Professional's Google Calendar via the Google Calendar API.
3.2 To use this feature, you must complete Google's OAuth consent process and grant the following permissions:
- Basic account information (name, email address, profile picture) to identify your account; and
- View and edit events on your Google Calendar(s) (the calendar.events scope), used solely to enable the Create Booking feature.
3.3 You may decline this integration and continue using other features of the Service. Certain scheduling conveniences under Create Booking will not be available without it.
3.4 Availability of the Create Booking feature, and any limits on the number of bookings, calendars, or team members that may use it, may vary by subscription plan and may be a paid-plan-only feature as described on the Eunoia Pro pricing page and in Section 10 (Payments, Subscriptions & Credits).
3.5 Professional Responsibilities. When using Create Booking, you agree that:
- You will not enter client-identifiable clinical, diagnostic, or otherwise sensitive information into Google Calendar event titles, descriptions, or attendee fields; calendar entries should be limited to scheduling information only.
- You are responsible for the accuracy of dates, times, and attendee details entered through the feature, and for resolving any scheduling conflicts.
- You will obtain any client consent required before adding a client as a calendar invitee or sharing a meeting link generated through this feature.
Limited Use of Google User Data
3.6 Eunoia Pro's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. Google Calendar data accessed through this feature is used solely to provide and improve the Create Booking feature and is never sold, used for advertising, or used to train generalized AI/ML models.
3.7 Revoking Access. You may disconnect your Google Account at any time from within Eunoia Pro account settings, or directly from your Google Account permissions page (myaccount.google.com/permissions). Disconnection will disable the Create Booking feature going forward and will not affect your access to other parts of the Service. See also the Eunoia Pro Privacy Policy, Sections 3.6, 7, 11, and 17, for details on how this data is collected, used, retained, and protected.
3.8 The Company is not responsible for outages, errors, or changes in the Create Booking feature caused by changes to, or unavailability of, Google's APIs or services.
4. User Accounts, Access & Subscriptions
4.1 Users may register via SSO, email, or other authentication methods, including two-factor authentication.
4.2 You are responsible for maintaining the confidentiality of your credentials and all activities under your account.
4.3 The Service may offer:
- Free plans
- Paid subscriptions
- AI usage credits/tokens
4.4 Exceeding usage limits may require additional purchases or result in restricted access at the Company's discretion.
4.5 The Company may suspend or revoke access if professional eligibility cannot be verified, or there is misuse or violation of these Terms.
5. Professional Responsibility & Client Interaction
5.1 You are solely responsible for all interactions, communications, and services provided to your clients, and for maintaining professional boundaries and ethical standards.
5.2 You agree that you will obtain explicit, informed consent from your clients before:
- Conducting sessions via the platform
- Recording audio/video sessions
- Uploading any client data or documents
- Using AI features such as transcription or analysis
- Scheduling a session with them via the Create Booking feature or including them as a calendar invitee
5.3 You must ensure compliance with applicable data protection laws (including the Indian DPDP Act where applicable), confidentiality obligations, and professional codes of conduct.
6. AI Features & Limitations
6.1 The Service may generate session recording, transcriptions, AI notes and summaries, and behavioral insights and recommendations. For Pro Trainer feature, the service may generate AI Trainee Assessment scores & reports, AI Avatar attributes, session recordings and additional insights.
6.2 You acknowledge and agree that AI outputs are automated and may not always be accurate or complete, and are for assistance only and must be reviewed by you.
6.3 You are solely responsible for validating AI-generated outputs and ensuring appropriateness before using them in professional practice.
7. Data Collection, Processing & Client Consent
7.1 The Service may collect and process User (professional) data and client-related data including personal, clinical, and session information.
7.2 This may include audio/video recordings, session transcripts, notes, documents, reports, behavioral and interaction data, and, where you have connected your Google Account, Google Calendar scheduling data as described in Section 3.
7.3 Explicit Consent Obligation. You (User) agree and warrant that you have obtained explicit, informed, and voluntary consent from your clients before collecting or processing their data through the Service, covering recording sessions, AI-based transcription and analysis, storage and processing of data, and scheduling via connected calendar tools.
7.4 By using the Service, you also provide your own explicit consent for processing your inputs (typed or voice) and, where applicable, your connected Google Account data, within the platform.
7.5 The Company processes data strictly to provide and improve the Service, enable AI-powered and scheduling features, and maintain system performance and security.
8. Data Security & Retention
8.1 We implement reasonable safeguards to protect data. However, no system is fully secure.
8.2 Data will be retained only as long as necessary for Service delivery and legal compliance. Google Calendar data is retained only as long as needed to manage the relevant booking and is deleted or access is revoked upon disconnection of your Google Account, account deletion, or withdrawal of consent.
8.3 Users may request deletion of their account and associated data. Upon deletion, data will be permanently removed (subject to legal retention requirements), any connected Google Account access will be revoked, and access to the Service will be terminated.
9. Prohibited Use
9.1 You agree not to use the Service for illegal or unethical activities, unauthorized sharing of sensitive client data, or content involving drugs, pornography, weapons, or harmful conduct.
9.2 The Company reserves the right to monitor usage patterns and restrict or terminate access for violations, including misuse of the Create Booking feature or connected Google Account data.
10. Company Rights & Termination
10.1 The Company may suspend or terminate accounts for breach of these Terms, misuse of the Service or data, or legal or regulatory concerns.
10.2 The Company may delete associated data upon termination, subject to applicable laws, and will revoke any connected Google Account access.
11. Payments, Subscriptions & Credits
11.1 Certain features, including the Create Booking, Pro Trainer, AI Insights feature, may require paid subscriptions or AI credits, as set out on the Eunoia Pro pricing page.
11.2 Payments are generally non-refundable, unless otherwise stated.
11.3 Pricing and plans may change at the Company's discretion.
12. Intellectual Property
12.1 All platform technology, AI systems, and content are owned by the Company.
12.2 Users retain ownership of their own uploaded data but grant the Company a limited license to process such data for providing the Service, including data synced through the Create Booking feature.
13. Limitation of Liability
13.1 The Service is provided “as is” without warranties.
13.2 The Company is not liable for errors in AI-generated outputs, professional decisions made by Users, scheduling errors arising from Google Calendar syncing, service interruptions caused by Google's APIs, or any damages arising from use of the Service.
13.3 Users are solely responsible for their professional services, compliance with laws and ethical standards, the accuracy of information entered into connected calendars, and any harm caused to clients due to misuse.
14. Governing Law & Jurisdiction
14.1 These Terms are governed by the laws of India.
14.2 All disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.
15. Amendments
15.1 The Company may modify these Terms at any time.
15.2 Continued use of the Service constitutes acceptance of updated Terms. Where changes materially affect the Google Calendar integration or the use of Google user data, we will provide notice through the app or by email prior to the change taking effect.
